These terms are an agreement between you and Prefyx Solutions ("Prefyx", "we", "us"), a Utah business. Alongside our consulting work, we operate an AI answering service for small service businesses, and these terms cover that answering service. By signing up for or using it, you agree to them. If you do not agree, do not use the service. Please read section 3 carefully — it is the most important section on this page.
These terms apply to subscribers — the businesses and individuals who sign up for the service and forward their business calls to us. Where these terms say "you", they mean the subscriber.
Members of the public who call a subscriber's business and reach our assistant are not parties to this agreement. How we handle their information is described in our Privacy Policy.
You must be at least 18 years old and able to enter into a binding contract. If you are agreeing on behalf of a business, you represent that you have authority to bind that business.
The service answers calls that you forward to us and takes a message. Specifically:
That is the whole of the service. It is inbound only: we do not place outbound calls, we do not call your customers back on your behalf, and we do not send text messages to your callers. We do not schedule appointments, quote prices, dispatch anyone, accept payments, or make any commitment to a caller on your behalf.
People who call a plumber, an electrician, or a similar trade are sometimes in the middle of a genuine emergency — a burst pipe, a gas smell, water reaching an electrical panel, no heat in freezing weather. Our assistant cannot help with any of that. It records what the caller says and sends you a text message. Nothing else happens.
Nobody is dispatched. No one is monitoring calls in real time. There is no guarantee that anyone will see the message quickly, or at all.
In an emergency, callers should hang up and dial 911, or contact their gas, electric, or water utility's emergency line directly. Nothing about this service should be relied on as a substitute for emergency services.
The service is not an emergency response, alarm monitoring, medical, or life-safety service, and must not be used or advertised as one. You agree not to represent to your customers that calls into your forwarded line will produce any emergency response.
You are responsible for how your business handles emergency calls. If your customers may face urgent or dangerous situations, you should give them a direct way to reach you or an appropriate emergency contact that does not depend on this service.
The assistant is an automated system built on speech recognition and a large language model. It gets things wrong. This is not defensive boilerplate — it is observed behavior in live use.
In particular, expect that it will sometimes:
Treat every summary as a lead to be confirmed, not a fact. Call the customer back and verify the address, the number, and the nature of the job before you drive anywhere, order parts, or quote a price. We are not responsible for wasted trips, incorrect work, missed jobs, or any other loss caused by an inaccurate or incomplete summary.
If a summary looks wrong or incomplete, the simplest fix is usually already on your phone: because the call rang your line before it was forwarded to us, your missed-call list will normally show the number the caller actually rang from. Call them back and ask.
We also do not guarantee that every forwarded call will be answered or that every answered call will produce a notification. Calls can be lost to network problems, carrier issues, or outages at us or our providers.
Setting up call forwarding on your own phone or with your own carrier is your responsibility. We can tell you how, but we cannot configure it for you, we do not control your carrier, and we are not responsible for calls that never reach us because forwarding is not set up, is set up incorrectly, or stops working.
You must give us an accurate mobile number that can receive text messages, and keep it current. Notifications sent to a number you gave us are considered delivered. If you change your number and do not tell us, you will stop receiving your leads, and messages intended for you may be delivered to whoever now holds that number.
You remain responsible for any duty you owe to people who call your business line — including any notice, disclosure, licensing, advertising, consumer protection, or industry-specific obligation that applies to your trade and the states you operate in. Forwarding your calls to us does not transfer those obligations to us.
Keep your account credentials secure and tell us promptly if you believe your account has been accessed without your permission.
You acknowledge and agree that every call forwarded into the service is recorded and transcribed.
Every call opens with a spoken disclosure, before any other conversation, telling the caller that they are speaking with an automated AI assistant and that the call is being recorded. This disclosure is played on every call and cannot be disabled, shortened, or modified — by you or by us.
The calls in question are your business calls, placed by your customers to your business line. When the service records them, it does so on your behalf and as your service provider. You are the party recording your own customer calls; we supply the mechanism that carries it out.
By using the service, you represent and agree that:
We write the disclosure and play it on every call without exception, because one that could be switched off would be worth very little. The practical consequence is that you cannot change its wording, yet you are the one responsible for whether it is sufficient for your business. We would rather say that plainly than bury it.
We keep the disclosure unconditional precisely so that it holds up in the strictest states. But if you operate somewhere with all-party consent rules, or your trade carries its own notice obligations, read it before you rely on it and raise it with your own advisor. If it does not meet your requirements, tell us and stop forwarding calls to us rather than continuing and hoping.
Recording law varies by state, and some states require the consent of every party to a call. The unconditional spoken disclosure exists to address this. You agree to tell us if you become aware of a requirement in your area that it does not meet.
The recording and the transcript exist only while the call is being handled. Once we have sent you the notification, we delete both. We do not retain call recordings or transcripts, and there is no setting that changes this.
Because nothing is kept, neither you nor we can go back and listen to a call or read a transcript after the fact — not to check a detail the assistant may have misheard, and not to settle a disagreement about what was said.
In practice you will usually not need us to. The call rang your line before it was forwarded, so your own missed-call list will normally show the number the caller rang from, and you can call them back directly. That fallback is not available where a caller withholds their number.

By providing your mobile number, you consent to receive text messages from us at that number.
Consent to receive text messages is not a condition of purchase. We do not send text messages to your callers, and we do not share mobile numbers with third parties or affiliates for marketing or promotional purposes.
You agree not to:
We may suspend or terminate your access immediately if we believe you are violating this section.
The service is licensed to you for use in your own business. You may not resell, sublicense, rent, white-label, or otherwise make the service available to any third party, or operate it as a shared answering service on behalf of other businesses, without our prior written agreement.
Where the service is provided to you at no charge, no fees are payable and we may modify or discontinue free access at any time.
If and when you are placed on a paid plan, the following apply:
You may cancel at any time. Cancellation takes effect at the end of your current billing period; the service continues until then, and fees already paid are not refunded except where required by law. After cancellation, stop forwarding calls to us — we cannot guarantee that calls forwarded to a number associated with a closed account will be answered or delivered.
We do not promise that the service will be uninterrupted or error-free. We may need to take it down for maintenance, and it may be unavailable for reasons outside our control.
The service depends on third parties, including our telephony and messaging provider, the provider of the AI voice and transcription models, our hosting provider, and your own carrier. An outage, change, or failure at any of them can prevent calls from being answered or messages from being delivered. We are not responsible for the acts, omissions, or availability of these providers, though we will make reasonable efforts to restore service.
The service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting that, we do not warrant that the service will answer every call, that any notification will be delivered or delivered promptly, or that any information captured by the assistant will be accurate or complete.
To the fullest extent permitted by law, Prefyx will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business, lost data, or loss of goodwill, arising out of or relating to the service — whether or not we have been advised that such damages are possible.
This includes, without limitation, any loss arising from a missed call, an undelivered or delayed notification, an inaccurate or incomplete summary, a caller whose emergency was not addressed, or a job you did not win.
Our total aggregate liability for all claims relating to the service will not exceed the greater of (a) the total amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
You agree to indemnify and hold harmless Prefyx and its owners, employees, and contractors from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the service, your breach of these terms, your relationship with or obligations to your own customers and callers, or your failure to comply with any law that applies to your business.
This includes any claim arising from the recording of calls to your business line, including a claim that consent to record was not properly obtained, given that as set out in section 6 you are the party recording those calls and we record them on your behalf.
These terms apply for as long as you use the service. You may stop using the service and close your account at any time. We may suspend or terminate your access if you breach these terms, if we are required to by law or by one of our providers, or if we discontinue the service — and we will give you reasonable notice where we can.
Sections that by their nature should survive termination — including sections 4, 6, and 12 through 17 — will survive.
We may update these terms as the service changes. We will revise the "last updated" date at the top of this page, and where a change is material we will notify subscribers directly. Continuing to use the service after a change takes effect means you accept the updated terms.
These terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. You and Prefyx agree that any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in Utah, and you consent to the jurisdiction of those courts.
